Exercise of Options and Associated Issue of Equity
George Town, Cayman Island - 21 January, 2020 - Mineral & Financial Investments ("M&FI" or the "Company")), the AIM quoted resources investment company, announces that options over 160,000 ordinary shares of 1p each in the Company ("Ordinary Shares") have been exercised by a previous director of the Company and an advisor to the Company at a price of 7.5p per ordinary share.
In part settlement of these option exercises the Company has issued 97,500 new Ordinary Shares (the "New Shares"). Application has been made to admit the New Shares to trading on AIM. Admission is expected to become effective on 27 January 2020 and the New Shares will rank pari passu in all respects with the Company's existing Ordinary Shares in issue.
Additionally, as set out in the announcement dated 12 October 2012 the Company holds 62,500 shares in Treasury (after adjusting for the April 2013 share consolidation), and these shares will be issued in settlement of the balance of these option exercises. As a result there will be nil shares held in treasury after this date.
For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), the issued ordinary share capital of the Company following Admission will consist of 35,135,395 Ordinary Shares with voting rights attached (one vote per Ordinary Share). There are no Ordinary Shares held in treasury. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
