                                  ANNOUNCEMENT

                        MITIE GROUP PLC (the 'Company')

Application has today been made to the Financial Services Authority for the
admission to the Official List and the London Stock Exchange plc for admission
to trading on its market for listed securities of 70,808 new ordinary shares of
2.5p each in the Company, ranking pari passu with the existing ordinary shares.
It is expected that admission of the new shares will be granted on 2 October
2002 and trading commence on 3 October 2002.

These shares were issued on 27 September 2002 as remuneration to Directors of
the Company as to Sir John Jennings 40,000 shares, Donald Charles Macpherson
20,000 shares and Mountgrange Limited (in respect of services provided by Manish
Jayantilal Chande) 10,808 shares.  The shares, in each case representing approx.
0.01% or less of the issued share capital of the Company, were issued at a price
of 87.5p per 2.5p ordinary share.

Following the issue of these shares, the Company today has been notified that
the interests of each Director in ordinary shares of 2.5p each in the Company
are as follows:
