Mitie Group plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons

The Company announces the following transactions in its Ordinary Shares of 2.5p each ("Shares"):

The Company has been notified in accordance with DTR 3.1.2R that on 30 December 2015 the following Directors elected to exercise share options granted under the Company's 2001 Executive Share Option Scheme (ESOS) and to sell the Shares received under those exercises, together with Shares received pursuant to the recently matured 2012 Save As You Earn scheme.  The ESOS options exercised were approaching the end of their term, having been due to expire on 22 June 2016. 

At the date of this announcement, both Directors maintain a shareholding in the Company worth in excess of 200% of base salary, in compliance with the Company's share ownership guidelines.

Following the above transactions, the interests of the directors are as follows:

(a)          Ruby McGregor-Smith is beneficially interested in 567,026 Ordinary Shares (0.16% of the issued share capital of the Company, excluding treasury shares); and

(b)          Suzanne Baxter is beneficially interested in 256,062 Ordinary Shares (0.07% of the issued share capital of the Company, excluding treasury shares).

This announcement is made in accordance with the requirements of DTR 3.1.4.
