               MITIE Group PLC - Directors' Interests in Shares

On 9 November 2001, the Trustee of The MITIE Group PLC (the 'Company')
Qualifying Employee Share Ownership Trust ('QUEST') acquired by subscription,
at a price of 1321/2 p per share, a total of 1,206,411 ordinary shares of 21/2
p each in the Company. All of these shares have been used to satisfy options
exercised under the Company's Savings Related Share Option Scheme and will
shortly be transferred to the individuals who exercised their options.

As potential beneficiaries under the QUEST, each executive director of the
Company (who has been with the Company for more than one year) is treated as
being interested in all shares acquired by the QUEST.
