Director Shareholding

MITIE Group PLC ('MITIE') has today been notified by Nigel Francis Swiffen, a
non-executive director of MITIE, that he has today sold 1,500,000 of his MITIE
ordinary shares of 2.5 pence each ('MITIE Shares') (representing 0.5% of the
issued share capital of MITIE) at a price of 96 pence per share.  Mr Swiffen now
holds 2,000,000 MITIE Shares (representing 0.67% of the issued share capital of
MITIE).



This sale is the final part of Mr Swiffen's reduction of his MITIE shareholding
prior to his planned retirement as a non-executive director of MITIE at the 29
January 2003 MITIE board meeting, following 11 years of service as a MITIE
non-executive director.
