MITIE Group PLC - Directors' Interests in Shares

On the 8 November 2004, the trustees of The MITIE Group PLC (the 'Company')
Employee Trust (the 'Trust') acquired by subscription, at a price of 144p per
share, a total of 8,000 ordinary shares of 2.5p each in the Company. All of
these shares have been used to satisfy options exercised under the Company's
2001 Executive Share Option Scheme and will shortly be transferred to the
individuals who exercised their options.

As potential beneficiaries under the Trust, each executive director of the
Company is treated as being interested in all shares acquired by the Trust.

of the shares detailed in this notification are:
