                            Directors' shareholdings

The Company has today received notification of the following transactions:
     
(1)  On 30 November 2004 Sir John Southwood Jennings, a non-executive director
     of the Company, sold 300,000 ordinary shares of 2.5p each in the Company, 
     at a price of £1.48 per share, representing 0.10% of the issued share 
     capital of the Company;

(2)  on 30 November 2004 Neville Roger Goodman, an executive director of the
     Company, sold 100,000 ordinary shares of 2.5p each in the Company, at a 
     price of £1.48 per share, representing 0.03% of the issued share capital of 
     the Company; and

(3)  on 30 November 2004 Carol Ann Goodman, spouse of Neville Roger Goodman, a
     director of the Company, sold 6,000 ordinary shares of 2.5p each in the
     Company, at a price of £1.48 per share, representing less than 0.01% of the
     issued share capital of the Company.

Following these disposals, Sir John Jennings is interested in 870,567 ordinary
shares representing 0.29% of the issued share capital of the Company and Mr
Goodman is interested in 1,437,213 ordinary shares representing 0.47% of the
issued share capital.
