                            Directors' shareholdings

The Company has today received notification of the following transactions:

(1)    On 2 June 2005 William Robson, an executive director of the Company, sold
314,000 ordinary shares of 2.5p each in the Company, at a price of 160p per
share, representing 0.10% of the issued share capital of the Company; and

(2)    On 2 June 2005 Neville Roger Goodman, an executive director of the
Company, sold 200,000 ordinary shares of 2.5p each in the Company, at a price of
160p per share, representing 0.07% of the issued share capital of the Company;
and

(3)    On 2 June 2005 Sir John Southwood Jennings, a non-executive director of
the Company, sold 74,567 ordinary shares of 2.5p each in the Company, at a price
of 160p per share, representing 0.02% of the issued share capital of the
Company.

Following these disposals Mr Robson is interested in 1,500,713 ordinary shares
representing 0.50% of the issued share capital of the Company, Mr Goodman is
interested in 1,237,213 ordinary shares representing 0.41% of the issued share
capital and Sir John Jennings is interested in 820,000 ordinary shares
representing 0.27% of the issued share capital.
