                    Notification of substantial shareholding

On 30 January 2004 MITIE received notification that Prudential plc has a total
notifiable interest in 31,313,080 Ordinary Shares of 2.5p each in MITIE which
represents 10.12% of the issued share capital of MITIE.  This total holding is
held by certain subsidiaries of Prudential plc which have notifiable interests
as follows: M&G Group Ltd holding 31,313,080 (10.12%); M&G Investment Management
Ltd holding 31,255,942 (10.10%); M&G Ltd holding 31,313,080 (10.12%); and The
Prudential Assurance Company Limited holding 15,693,665 (5.07%).

MITIE has been informed that the shares to which this notification relates are
