                  Notification of substantial shareholding

On 16 February 2005 MITIE received notification that Prudential plc has a
notifiable interest in 18,440,600 Ordinary Shares of 2.5p each in MITIE which
represents 6.04% of the issued share capital of MITIE. (This total includes a
notifiable interest of its subsidiary company The Prudential Assurance Company
Limited in 16,617,362 shares (5.44%)). This notification represents Prudential
plc's beneficial interests only.

MITIE has been informed that the shares held by the Prudential group of
companies to which this notification relates are registered as follows:

been confirmed that M&G Group Limited and M&G Limited (and their ultimate
holding company, Prudential plc) (the 'Companies') are interested in a total of
29,465,725 (9.65%) MITIE shares. This interest arises from the holdings of MITIE
shares by funds which are managed or advised by various subsidiaries of the
Companies.
