Notification of substantial shareholding

On 7 January 2005 MITIE received notification that FMR Corp. and Fidelity
International Limited and their direct and indirect subsidiaries have notifiable
non-beneficial interests in 45,913,021 Ordinary Shares of 2.5p each in MITIE,
which represents 15.02% of the issued share capital of MITIE. This is an
increase of 625,913 shares in their holding since their last notification. The
notifiable interests also comprise the notifiable interest of Mr Edward C
Johnson 3rd, a principal shareholder of FMR Corp. and Fidelity International
Limited.

MITIE has been informed that the shares to which this notification relates are
