The following amendment has been made to the 'Total Voting Rights' announcement released on 4/01/16 at 16.36 under RNS No 7817K.

The total number of shares issued was stated as 373,118,988 and should have read 374,052,509, and total number of voting rights was stated as 362,256,349 and should have read 363,189,870.

All other details remain unchanged. The full amended text is shown below.

Mitie Group plc (the "Company") - Voting Rights and Capital

Further to the announcement made on 1 December 2015, and in accordance with the Disclosure and Transparency Rules (DTR 5.6), the Company hereby notifies the market that, as at 31 December 2015, the issued share capital and voting rights of the Company were as follows:

Total number of issued shares*:            374,052,509

Voting rights per share:                          1

Total number of voting rights            

for all classes of issued shares*:           363,189,870

Total number of shares held

in treasury:                                             10,862,639     

* These figures include 7,192,972 shares currently held in the Company's employee benefit trust, which are excluded from the Company's EPS calculation.

The total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the FCA's Disclosure and Transparency Rules.
