Further to the announcements on 4 November 2014 and 26 November 2014 regarding proposals of M J Gleeson Group Public Limited Company (the "Company" or "Old MJ Gleeson") to change its corporate structure by introducing a new parent company, MJ Gleeson PLC ("New MJ Gleeson") as the new holding company of the Company, by means of a scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme"), the Company is pleased to announce that the Court has today made an order sanctioning the Scheme and the Old MJ Gleeson Capital Reduction.

The Scheme and the Old MJ Gleeson Capital Reduction will become effective on delivery of the Court order to the Registrar of Companies, which is expected to take place later today.

Application has been made to both the UK Listing Authority and London Stock Exchange for the cancellation of the Old MJ Gleeson Shares listed on the premium segment of the Official List and cancellation of trading on the London Stock Exchange's main market, with effect from 8.00 a.m. on 19 December 2014. Application has been made by New MJ Gleeson for the admission of 53,697,480 New MJ Gleeson Shares to the premium listing segment of the Official List and admission to trading on the main market of the London Stock Exchange with effect from 8.00 a.m. on 19 December 2014 ("Admission").

CREST accounts will be credited with New MJ Gleeson Shares on 19 December 2014 and share certificates in respect of New MJ Gleeson Shares will be despatched within 10 business days of Admission.

Defined terms used in this announcement have the same meanings as those used in the Circular published on 04 November 2014.
