The independent trustee of the National Express Group Employee Benefit Trust
(the 'Trust') notified the Company on 3 January 2006 that it had on the same day
processed an exercise over 814 ordinary 5p shares under the Company's Deferred
Annual Share Bonus Plan.

Following this transaction the Trust holds a total of 340,055 shares in the
Company in which the executive directors of the Company, Messrs P.M. White, R.
O'Toole and A.C. Walker are deemed to be technically interested for Companies
Act purposes.  They were not however connected with the above transactions.
