  Notification of Transactions by Directors and Persons Discharging Managerial
                                 Responsibility

Morgan Sindall plc announces that Stewart Davenport, Person Discharging
Managerial Responsibility ('PDMR'), has today sold 13,754 shares at £12.54 per
share. The proceeds from the sale of these shares will be used to part settle
the sum payable in respect of Mr Davenport's divorce.

Following this transaction, Mr Davenport has notified his interest in the share
capital of the Company in accordance with Disclosure Rule 3.1.4R (1) (a) and
section 793 of the Companies Act 2006 as follows:
