MOTHERCARE PLC DIRECTOR PDMR SHAREHOLDINGS
During the three year performance period to 31 March 2009,
Mothercare's total shareholder return outperformed the FTSE General
Retailers index by 66%, and its underlying profit before interest and
tax increased by 91%.
Mothercare plc therefore announces the vesting of the 2006 three-year
Performance Share Plan (PSP) and the issue of options under the
three-year Executive Incentive Scheme (EIP) awards. The schemes were
approved by the shareholders in July 2006. Details of the schemes are
set out in the Mothercare plc Annual Report and Accounts, 2009.
Mothercare plc also reports the exercise of certain outstanding
options under the Mothercare plc 2000 share option scheme.
Performance Share Plan
The performance criteria have been met in full and the nil cost
options originally granted in July 2006 under the Performance Share
Plan have vested fully. Therefore, the following directors and
PDMR's have now received the following Mothercare plc ordinary
shares.

The share price on the vesting date and date of sale, 27 July 2009,
was 542.0023p per share
Executive Incentive Plan
Under the rules of the Executive Incentive Plan, the award can be
paid in full in cash, or up to 50% paid in nil cost share options.
The Remuneration Committee has determined that the maximum 50% will
be paid in nil cash share options, as listed below. These share
options will be exercisable by each of the participants with effect
from 1 March 2010.
