Re: Mothercare plc - Vesting of Long-Term Incentive Plan and Share
matching Scheme Shares. 2005 Cycle

Mothercare plc announces that it has been advised on Friday 27 June
by the Trustees of the Mothercare Employee Trust that the
under-mentioned director and persons discharging management
responsibilities have received vesting shares under the terms of the
Mothercare plc Long Term Incentive Plan and Share Matching Scheme.
The shares vested on 23 June 2008 pursuant to conditional awards
originally made on 23 June 2005. The disposals referred to below were
made on 23 June 2008 to enable the participants to discharge, in
part, tax and national insurance liabilities arising on the vesting.
The Mothercare Employee Trust subsequently re-acquired the shares
disposed of by the participants. The price in both transactions was
379p per share. The shares acquired by the Mothercare Employee Trust
will be used in fulfilling future incentive share scheme awards made
by Mothercare plc. The Trust holds 3,570,059shares following this
transaction equivalent to 4.09% of the issued share capital.
