Director PDMR Shareholding -David Williams- Correction

The information in respect of Mr Williams' purchase of 1,025 Mothercare shares
issued yesterday was incorrect. The corrected statement as if issued on 20 May
is set out below.

"Mothercare plc announces that Mr David Williams, a non-executive director of
the company has today purchased 1,925 Mothercare ordinary shares at a price of
£5.1835 per share.
Following this announcement Mr Williams holds a total of 32,300 ordinary shares
equivalent to 0.03% of the total voting rights of the company."
