Directors' Shareholdings : Mr Ben Gordon

Mr Ben Gordon was awarded 125,000 Mothercare plc ordinary 50p shares on 2
December under his equity incentive scheme. No payment is required from Mr
Gordon in respect of this award. Mr Gordon has sold 25,000 of the shares awarded
on 2 December at a price of 288p per share to meet in part the income tax and
national insurance liability arising from the vesting of that award.
Mr Gordon now holds 231,862 Mothercare plc ordinary shares being 0.324% of the
Company's issued share capital.
