Re: Mothercare plc, Disclosure of Interest in Shares

Mothercare plc announces that it has today been advised by M&G Investment
Management Limited that Prudential plc and certain of its subsidiary companies
('Prudential plc') of an increase in their notifiable interest in the share
capital of Mothercare plc to 10,642,134 Mothercare plc Ordinary 50p shares
equating to 15.05% of the issued share capital. Within this total, M&G
Investment Management Ltd holds 10,630,885 shares or 15.03% (previously
announced by M&G Investment Management Limited on 1 May 2003 under Rule 3 of the
rules governing substantial acquisitions of shares). The previously notified
interest of Prudential plc was in respect of 10,594,898 Ordinary 50p shares
comprising 14.98% of the issued share capital.
