In accordance with the Disclosure and transparency Rules, Mothercare
plc announce that AGEON UK Group of Companies (comprising AGEON Asset
Management UK Limited, AGEON Investment Management UK Limited and
AGEON ICVC) has advised the company of a reduction in its voting
rights in Mothercare plc.

The notifiable interest now comprises 6,097,720 ordinary shares all
with voting rights (or 6.99%) being a direct holding of 6,060,993
(6.95%) and an indirect holding of 36,727 (0.04%) of the voting
rights (previously a total of 6,189,339 or 7.09%)
