We write to inform you that on Tuesday 11(th) January the Trustees of the
Mothercare Employee Trust acquired 250,000 Mothercare Ordinary Shares of 50p
each, at a price of £5.494305p per share.
The shares are to be utilised by the Trust for equity incentives throughout the
Mothercare business. The executive directors (and other persons discharging
management responsibilities) of Mothercare plc are deemed to be interested in
all of the shares held by the Trust which now amount to 2,458,079 shares or
2.786% of the issued share capital.
