In accordance with the Disclosure and Transparency Rules, Mothercare plc
announces that Global AEGON Asset Management Group (comprising AEGON Asset
Management Holding BV, AEGON Asset Management UK Holdings Ltd, AEGON Asset
Management UK plc, AEGON Investment Management UK Limited and AEGON ICVC) has
advised the company of a decrease in its voting rights in Mothercare plc.

The notifiable interest of direct and indirect holdings now comprises 3,511,926
ordinary shares all with voting rights (or 4.03%) being a direct holding of
3,495,274 (3.96%) and an indirect holding of 16,652 (0.02%) of the voting
rights.
