MOTHERCARE PLC: CHANGE IN SHAREHOLDING

Mothercare plc announces that it has been advised by Aviva plc that Morley Fund
Management Limited (a subsidiary of Aviva plc) of an increase in their
notifiable material and non-material interests in the share capital of
Mothercare plc as detailed below.

Morley Fund Management Limited's material interest comprises 5,587,150 shares or
7.80% (previously 5,409,150 or 7.55%) of Mothercare's issued capital. In
addition Morley Fund Management Limited have a non-material interest in a
further 1,698,263 shares or 2.37% (previously 1,748,960 shares or 2.44%) of
Mothercare's issued share capital.
