Notification of Major Interests In Shares


Mothercare plc announces that following the implementation of the Transparency
Directive the AEGON UK Group of Companies (consisting of AEGON Asset Management
UK plc, AEGON Investment Management UK Ltd and AEGON ICVC) has a notifiable
interest in the voting rights of Mothercare plc.


The notifiable interest comprises 6,490,725 or 8.85% of the company's voting
rights being a direct holding of 6,419,421 (or 8.76%) and an indirect holding of
71,304 (or 0.10%).
