Re: Holding in Company - Disclosure and Transparency Rules


Mothercare plc announces that it has been advised by Fidelity International
Limited (FIL) and certain of its subsidiary companies of its voting rights in
the company. Their notifiable interest comprises 6,657,299 ordinary Mothercare
plc 50p shares representing 9.08% of the voting rights.


In addition, FMR Corp (FMR) have advised the company that they hold a further
1,168,393 ordinary Mothercare plc 50p shares representing 1.59% of the voting
rights.


Prior to the implementation of the EU Transparency Directive, the interests of
FMR and FIL were aggregated for the purposes of shareholder reporting.
