Voting Rights and Capital


In conformity with the Transparency Directive's Transitional Provision 6,
Independent Resources plc hereby notifies the market that the total number of
ordinary shares of 1p each of the Company as at the date of this notice is
33,433,333 with each share carrying the right to one vote.


The Company does not hold any shares in treasury.


The above figure of 33,433,333 for shares in the Company carrying voting rights
may be used by shareholders for the purposes of calculating whether they are
required to notify their interest in, or any change to their interest in, IRG
under the FSA's Disclosure and Transparency Rules.
