               Notice of resignation and appointment of Directors


Alain Chaigneau, a non-executive director nominated by Suez Environnement UK
Limited, a subsidiary of Suez SA, which is entitled to nominate two directors
for appointment to the Company's Board, has resigned with effect from 17 March
2005. Suez Environnement UK Limited has nominated Christophe Cros as a
replacement non-executive director and the Company's Nomination Committee and
Board have approved the appointment with effect from the same date.


In relation to his appointment as a director of the Company and in accordance
with the obligations of 16.4 of the FSA Listing Rules, Christophe Cros has
declared the following:


1.      In relation to other directorships of publicly listed companies,
currently held or held in the last 5 years, that he holds no such appointments.


2.      In relation to the information required to be disclosed under section
6.F.2 (b) to (g) of the FSA Listing Rules, that there is no such information to
be disclosed.


3.      That at the date of his appointment he held no shares in Northumbrian
Water Group plc.


It is also intended that Christophe Cros will join the Treasury Committee.

Alain Chaigneau, a non-executive director, has resigned with effect from 17
March 2005 and Christophe Cros has been appointed as a replacement non-executive
director with effect from the same date.


It is also intended that Christophe Cros will replace Alain Chaigneau on the
Audit Committee.
