The Company announces that on 18 October 2011, Jackie Knutton, the wife of Rob Cotton, a Director of NCC Group, transferred 5,790 ordinary shares with a nominal value of 1 pence each in NCC Group to Rob Cotton for nil consideration.

Rob Cotton's aggregate beneficial interest in the Ordinary Shares of the Company following the share transfer is set out below:
