The Company announces that on 3 October 2013, Rob Cotton, a Director of NCC Group, transferred 34,740 ordinary shares with a nominal value of 1 pence each in NCC Group to his wife Jackie Knutton for nil consideration.

Rob Cotton's aggregate beneficial interest in the Ordinary Shares of the Company following the share transfer is set out below:
