Notice of AGM and Posting of Annual Report
Netcall plc (AIM:NET), a leading provider of intelligent automation and customer engagement software, announces that the annual report and accounts for the financial period ending 30 June 2021, and notice ("Notice") of its annual general meeting ("AGM"), has today been posted to shareholders. It is also available to view on the Company`s website: www.netcall.com
The AGM will be held at 10.30 am on 16 December 2021 at the offices of Taylor Wessing LLP, 5 New Street Square, London, EC4A 3TW.
Important Information Regarding the Annual General Meeting
It is presently the Company`s intention that the AGM this year will be an open meeting and the Board is looking forward to welcoming shareholders in person. However, in order to ensure the health and safety of shareholders and colleagues, please note the following measures will be put in place this year, namely:
Shareholders wishing to attend the AGM in person will be required to pre-register their intention to attend by notifying the Company Secretary at ir@netcall.com by no later than 10.30 am on 14 December 2021. Failure to do so will preclude attendance at the AGM.
Shareholders must not attend the AGM in person if they are experiencing any Covid-19 symptoms, and shareholders attending in person will be required to confirm on arrival at the AGM venue that they do not have any Covid-19 symptoms and are not required to self-isolate in accordance with any then applicable UK Government guidance.
Whilst general restrictions with respect to Covid-19 have currently been lifted, it is possible that changes may be made and guidance altered at short notice. It is also conceivable that entry may have to be restricted at the venue to ensure compliance with the venue`s own health and safety requirements. Netcall plc therefore strongly encourages shareholders to appoint the Chair of the meeting as their proxy to ensure that all votes can be counted and exercised at the AGM. Should a shareholder appoint someone other than the Chair of the meeting as their proxy it is possible that such person will not be admitted to the AGM and in consequence the votes would not be cast and counted.
The Company will continue to monitor the UK Government`s guidance on Covid-19. Should the situation change for any reason, and it is considered that in person attendance is no longer possible or appropriate, the Company will notify shareholders as soon as possible prior to the AGM via an RNS announcement and on the Netcall website at www.netcall.com/investors/regulatory-news/
Any shareholder wishing to raise questions at the AGM should submit their question(s) to the Company Secretary by 10.30 am on 14 December 2021 using the e-mail address ir@netcall.com. Any questions raised by shareholders in such manner prior to the AGM, will be answered during the meeting in the usual way but shareholders attention in this respect is drawn to Note 4 in the Notice.
