Notification of transactions by persons discharging managerial responsibilities and persons closely associated

The Company announces that it was notified on 10 December 2018 of the following transactions by persons discharging managerial responsibilities.

On 6 December 2018, Allan Lockhart exercised 192,784 nil cost share options which were granted under the NewRiver Retail Limited Performance Share Plan 2009, 205,546 nil cost share options which were granted under the NewRiver Retail Limited Deferred Bonus Plan 2009 and 12,309 warrants at an exercise price of 124 pence per ordinary share. 196,202 shares were sold in order to cover the cost of the exercise and the associated tax liability and 34,186 shares were sold for cash. Allan Lockhart has retained the balance of 180,251 shares, which increases his total shareholding in NewRiver from 277,944 to 458,195 ordinary shares.

On 6 December 2018, Mark Davies exercised 14,029 nil cost share options which were granted under the NewRiver Retail Limited Performance Share Plan 2009 and 142,576 nil cost share options which were granted under the NewRiver Retail Limited Deferred Bonus Plan 2009. 73,864 shares were sold in order to cover the associated tax liability. Mark Davies has retained the balance of 82,741 shares, which increases his total shareholding in NewRiver from 139,727 to 222,468 ordinary shares.

On 6 December 2018, David Lockhart exercised 18,705 nil cost share options which were granted under the NewRiver Retail Limited Performance Share Plan 2009. 8,705 shares were sold in order to cover the cost of the associated tax liability. David Lockhart has retained the balance of 10,000 shares, which increases his total shareholding in NewRiver from 1,752,626 to 1,762,626 ordinary shares.
