Nokia's share capital increased in connection with the acquisition
of Rooftop Communications Corporation
A total of 529,530 Nokia shares with the nominal value of EUR 0,24
were subscribed for after the previous increase in the share
capital was registered on September 9, 1999. The share
subscriptions are based on the decision by the Board of Directors
of Nokia of September 8, 1999 taken on the basis of the
authorization given by the Annual General Meeting on March 17,
1999 and in connection with the acquisition of Rooftop
Communications Corporation. Part of the acquisition price is paid
in Nokia shares.
The corresponding increase in the share capital, in total
EUR 127,087.20 was registered in the Finnish Trade Register on
September 16, 1999. As a result, the share capital of Nokia is now
EUR 291,270,443.04 and the total number of shares is
1,213,626,846. Nokia received as additional shareholders' equity
in total EUR 42,452,420.10.
The holders of the new shares are entitled to all shareholders'
rights from the registration date September 16, 1999. The new
shares are listed at the Helsinki Exchanges together with the old
shares on September 17, 1999. Listing of the shares will also be
applied for at the Frankfurt, London, New York, Paris and
Stockholm Stock Exchanges.
