Edinburgh US Tracker Trust plc (the "Company") is pleased to announce that at the General Meeting of the Company held on 29 May 2012, the Resolution to change the Company's investment policy, as set out in the circular to shareholders dated 27 April 2012 was approved by shareholders. The new investment policy comes into effect following the conclusion of the General Meeting.
Following approval for the change to its investment policy, the Company has also changed its name to The North American Income Trust plc and, with effect from 30 May 2012, the Company's 'ticker' reference will change from EUS to NAIT. The Resolutions to amend the Articles, including the change from an annual to three yearly continuation vote, and to extend the allotment authorities were also approved.
The Board withdrew Resolution 3, which related to the disapplication of pre-emption rights equal to 40% of the Company's issued share capital, as there was insufficient proxy voting support to carry this special resolution, requiring 75% approval. The Company still has authority to disapply pre-emption rights equal to 10% of the Company's issued share capital, which was granted at today's annual general meeting.
A copy of the proxy results has been submitted to the National Storage Mechanism and will shortly be available for inspection at http://www.hemscott.com/nsm.do and will also available for download from the Company's website, www.edinburghustracker.co.uk.
