                           Voting Rights and Capital

In accordance with FSA's Disclosure and Transparency Rules, Northern Bear
advises that its issued share capital comprises 13,458,569 ordinary shares of 1p
each ('Ordinary Shares'). The voting rights attached to these Ordinary Shares
are identical, with each share carrying one vote. The Company holds no ordinary
shares in Treasury.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in the Company under the Disclosure
and Transparency Rules.
