NOTICE OF SPECIAL GENERAL MEETING

Amsterdam, 4 March 2013. Zhaikmunai L.P. ("Zhaikmunai" or the "Partnership") is pleased to announce that a Special General Meeting ("SGM") of its limited partners will be held at The Crowne Plaza Hotel - Amsterdam South, George Gershwinlaan 101, Amsterdam, 1082 MT, The Netherlands, at 12:00 noon on Thursday, 28 March 2013.

The meeting will consider the resolutions laid out in the notice of SGM, which has been distributed to the limited partners along with the form of proxy.  The following resolutions are being proposed at the SGM:

(1) that Zhaikmunai Group Limited (the "General Partner") be granted a general authorization to purchase Zhaikmunai Global Depositary Receipts (GDRs) listed on the London Stock Exchange and Zhaikmunai limited partnership interests on behalf of the Partnership, and

(2) that the General Partner be authorized to make certain amendments to Zhaikmunai's limited partnership agreement, primarily to allow for the initiation of a GDR repurchase programme.

The Board of the General Partner considers that the proposed resolutions are in the best interests of the Partnership and the limited partners as a whole and unanimously recommends that limited partners vote in favour of the resolutions to be proposed at the SGM.
