New Investment Advisory and Operational Services Agreement and Replacement of Corporate Services Provider
Oakley Capital Investments Limited1 (the "Company") announces that it has today agreed to enter into a new Investment Advisory and Operational Services Agreement (the "New Agreement") with Oakley Capital Limited 2 (the "Investment Adviser") as part of an exercise to simplify its investment management arrangements. To date an Operational Services Agreement ("OSA") was in place between the Company and Oakley Capital Manager Limited ("OCML") and the corresponding investment advisory agreement ("IAA") was in place between OCML and the Investment Adviser. Under the New Agreement, the Investment Adviser shall provide the investment advisory and operational services directly to the Company on equivalent terms to the existing agreement. The New Agreement becomes effective from 1 January 2022 (the "Effective Date") and the OSA and IAA will terminate immediately prior to the Effective Date on 31 December 2021.
As entry into the New Agreement constitutes a related party transaction in accordance with the Company's related party policy, the Company has obtained a fairness opinion from Liberum Capital Limited, prior to entering into the New Agreement.
The Company also announces that it has today agreed to enter into a new corporate secretarial services agreement with Carey Olsen Services Bermuda Limited ("COSBL"). COSBL shall replace OCML as the Company's corporate services provider, effective from the Effective Date.
