Old Mutual plc (the 'Company') announces that, as a consequence of the issue of
1,020,118,863 shares in the Company on 1 February 2006, the following changes in
notifiable interests, for the purposes of Part VI of the UK Companies Act 1985,
have taken place in its current issued ordinary share capital:

• the holding of Public Investment Corporation of the Republic of South
Africa of 298,008,885 shares now represents 5.83% of the Company's current
issued ordinary share capital;

• the holding of the Company's subsidiary, Old Mutual Life Assurance
Company (South Africa) Limited, of 275,205,936 shares now represents 5.39%,
whilst the cumulative holdings of the Group's life business in South Africa,
Malawi, Namibia and Zimbabwe of 289,450,640 shares now represent 5.66%, of the
Company's current issued ordinary share capital;

• the holding of Old Mutual Asset Managers (South Africa) (Pty) Limited
of 206,985,671 shares for Group employee benefit trusts now represents 4.05% of
the Company's current issued ordinary share capital;

• by a notification dated 3 February 2006 received on 6 February 2006,
the Company was informed that FMR Corp. and its direct and indirect subsidiaries
and Fidelity International Limited and its direct and indirect subsidiaries had
non-beneficial interests in a total of 164,997,838 shares in the Company,
representing 3.23% of the Company's current issued ordinary share capital;

• Legal & General Group Plc and Franklin Resources, Inc and its
affiliates no longer have a notifiable interest in the Company's current issued
ordinary share capital.

The above details of percentage shareholdings are based upon 5,110,105,843
shares, being the total number of shares in the Company in issue at 6 February
2006, and upon the latest details of holdings notified to the Company by each of
the shareholders concerned.
