Voting Rights of Major Shareholders

 

Oryx International Growth Fund Limited (the "Company") announces that, following the repurchase of 58,000 ordinary shares ("Shares") by the Company on 30 January 2018, there is a change in the voting rights held by its major shareholders.

 

North Atlantic Smaller Companies Investment Trust Plc ("NASCIT") holds 7,106,284 Shares representing 50.07% of the voting rights of the Company. In addition, Christopher Mills, Chief Executive of NASCIT, holds 328,716 Shares, representing 2.32% of the voting rights of the Company. Together, NASCIT and Christopher form a concert party (the "Concert Party") as defined under the City Code on Takeovers and Mergers (the "City Code") and control 52.39% of the voting rights of the Company.

 

Following the recent share repurchase, each of NASCIT and the Concert Party control Shares carrying more than 50 per cent of the voting rights and, in-line with the circular published by the Company on 18 July 2017 in connection with its annual general meeting and waiver of Rule 9 of the City Code, either may now acquire interests in additional voting shares whilst not being required to make a general offer to the other shareholders to acquire their shares.
