                         Notification of Voting Rights


Under the Disclosure Rules and Transparency Rules (the 'DTR') the Company is
required to make notification when it becomes aware of an 'acquisition' or
'disposal' of voting rights where if the percentage of such voting rights
reaches, exceeds or falls below 3% of the total voting rights in the Company or
any whole percentage point above 3%.

Where a proxy is granted, giving the proxy holder discretion to decide how the
votes are cast in the absence of specific instructions from the shareholder, a
proxy holder is considered to be an indirect holder of shares under the DTR.

In advance of the Company's AGM and EGM the Chairman of the Company, Colin Bird,
has received discretionary proxy votes as detailed in the table below. The
aggregate of these proxy votes together with the voting rights held directly by
Mr Bird breaches the threshold noted above. Therefore, the following
notification under the DTR is required.

There are currently 418,003,235 ordinary shares of 1p each ('Shares') in issue
representing 418,003,235 voting rights.
