Appointment of Director and Four Managing Directors
Further to the release of its full year results on 23 September 2004, in which
the Board of Interregnum announced the appointment of Dr. John Forrest as a
Non-Executive Director, the Company is able to provide further information in
respect of his appointment.
Interregnum has also strengthened its corporate finance advisory capabilities
with the appointment of four managing directors, Niall Doran, James Gambrell,
Timothy Gocher, and Alexander MacPherson.
Dr. John Forrest CBE FREng was appointed Chairman of Interregnum's International
Advisory Board in April 2003. He was previously a Non-Executive Director of 3i
plc and Chairman of the Spectrum Management Advisory Group, a body set up by the
UK Parliament to advise government ministers on the management and use of the
wireless spectrum. John was the founder and first Chief Executive of NTL. He has
advised the European Commission for several years in its major science and
technology programmes and has assisted several technology start-ups as chairman
or director and been closely involved in their initial public offerings on the
London AlM and US NASDAQ markets.
John currently has a beneficial interest in options over 30,000 ordinary shares
of Interregnum plc. The options were granted on 8 April 2003, when Interregnum's
International Advisory Board was formed, with an exercise price of 5p. The
options vest equally over a 3-year period. The first third vest on 8 April 2004.

The four Managing Directors appointed to further strengthen Interregnum's
capability to effect complex transactions and exits are as follows:
Niall Niall began his career at Accenture, where he worked on a series of
Doran large technology projects in banking, financial markets and
consumer products. He has extensive experience of the global oil
and gas industry and has led a number of large scale technology
transformation projects. While at Accenture he also developed a new
European business unit focused on technology assets with sales of
£50m. Prior to joining Interregnum he was turnaround CEO of
Intigma, a Softbank-backed IT software company providing structured
content solutions to Global 500 companies.
James
Gambrell James has provided strategic and interim management services for
early-stage or turnaround telecoms, media and technology companies
in China, Asia, the US and Europe. He was previously Group Managing
Director of Granada-Power Channel - Power Channel Europe PLC, a
joint venture with Granada Media, and, prior to that, CEO of
Imagitel, Inc., a telecoms company. He was previously a principal
consultant at Waterford Investments, providing corporate
acquisition and turnaround advisory services to small and
medium-sized businesses.
Timothy Prior to joining Interregnum, Tim was a management consultant at
Gocher Powergen PLC/E.On in UK and Russia, responsible for major projects
in risk management, corporate venturing, renewable energy and
Russian energy privatisation. He started his career in corporate
finance and technology at Deloitte & Touche (London) and then J.P.
Morgan (New York). He subsequently founded and grew Virtual
Frontiers, an e-commerce and systems integration firm, before
becoming Chief Technology Officer for Sensenet, Inc. in New York
(which acquired Virtual Frontiers). While in New York he also
founded Thought Bay, a software development consultancy which he
sold to Vote.com in 2001.
Alexander Alexander has extensive experience in the telecoms industry, having
MacPherson previously been: CEO of Levicom Broadband, a Baltic communications
firm which, following its restructuring, was successfully sold to
Netcom of Sweden; COO of a Millicom cellular GSM operator in
Estonia which became no.2 in the market a year after its launch;
and Senior VP Marketing and Business Development for Storm
Telecommunications. He was previously a senior fund manager of the
450 Wirefree Systems fund, a J.P.Morgan-backed US$70m private
equity fund which acquired undervalued analogue cellular networks.
Before joining Interregnum, he was VP Business Development at
Inquam, a Qualcomm-backed telecommunications investment firm which
acquires cellular networks worldwide.
