Share Subscription - Revised Number of Shares Admitted
London, United Kingdom - Pembridge Resources plc (LSE: PERE) ("Pembridge" or the "Company") announces that further to the announcement on 8 January 2021 the expected admission of 2,558,793 new ordinary shares ("New Ordinary Shares") of the total 14,558,793 is 8.00 a.m. on 13 January 2021.
The Company intends to issue the New Ordinary Shares under its existing authorities and an application has been made to the London Stock Exchange for the New Ordinary Shares which rank pari passu with the Company's existing issued ordinary shares, to be admitted to trading on the LSE and official list of the FCA. Dealings are expected to commence from 8.00 a.m. on 13 January 2021 ("Admission").
The Company's issued ordinary share capital following Admission will be 76,965,786 ordinary shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
Furthermore, the issuance and application for admission of the remaining 12,000,000 shares under the Subscription announced on 8 January 2021 (including all of the shares being subscribed by the director Gati Al Jebouri) is anticipated on 14 May 2021 with dealings expected to commence at 8:00 a.m. on 17 May 2021. An announcement is to be made at the time, once the Company has obtained FCA and LSE approval, together with an update of the Company's issued ordinary share capital.
