NOTIFICATION OF DIRECTORS' INTERESTS PURSUANT TO DR3.1.4R(1)


Pennon Group Plc announces that it received notification on 1 September 2006,
pursuant to DR3.1.2R and Section 324 (as extended by Section 328) of the
Companies Act 1985, that pursuant to the rules of the Company's Sharesave Scheme
options over Ordinary shares of 40.7p each in the Company were exercised and the
shares allotted to one of its Executive Directors (being a person discharging
managerial responsibilities) on 1 September 2006 in England as follows:

The shares were allotted and issued to Mr Drummond at the subscription price of
176.66p per share (being the option price).
