DIRECTORS' SHAREHOLDING (PURSUANT TO DR3.1.4R(1))


Pennon Group Plc announces that it received notification on 11 August 2005
pursuant to DR3.1.2R that in accordance with the rules of the Company's Annual
Incentive Bonus Plan - Deferred Element ('the Plan') persons discharging
managerial responsibilities in the Company on 10 August 2005 in England obtained
a conditional interest in Ordinary shares of £111p each in the Company as
follows:

These shares were awarded at a price of 984p (being the mid market price of the
Company's shares at the close of business the previous day).  These shares
pursuant to the terms of the Plan are to be held for a period of three years in
trust by Pennon Share Plans (Guernsey) Limited before release.
