DIRECTORS' SHAREHOLDING

Pennon Group Plc announces that it has today received notification that its
three Executive Directors have obtained a conditional interest in Ordinary
shares of the Company as follows:

Mr R J Baty                        -      18,087

Mr C I J H Drummond                -      18,087

Mr K L Hill                        -      18,690


The shares were acquired on 11 September 2001 by Peninsula Trustees (Guernsey)
Limited at 622p per share and represent the maximum number of shares to which
each of the Directors would become entitled under the Company's Restricted
Share Plan if the relevant performance criteria are met.

On the same day, the conditional interest of the three Directors in shares
awarded under the Restricted Share Plan in 1998 lapsed as the performance
criteria attaching to those awards had not been met.  Their conditional
interest had been as follows:

Mr R J Baty                        -      9,558

Mr C I J H Drummond                -      9,558

Mr K L Hill                        -      9,852
