Transaction in Own Shares

Pennon Group Plc announces that it has today purchased through Merrill Lynch
International 200,000 ordinary shares at a price of 610.880215 pence per share.

The purchased shares will all be held in treasury.  Following the above purchase
and non-cancellation of such equity shares, Pennon Group Plc will hold 1,275,972
ordinary shares in treasury and a total of 353,888,302 ordinary shares will be
in issue (excluding shares to be held in treasury).
