Transaction in Own Shares

Pennon Group Plc announces that it has today purchased through Merrill Lynch
International 48,096 ordinary shares at a price of 608.3436 pence per share.

The purchased shares will all be held in treasury.  Following the above purchase
and non-cancellation of such equity shares, Pennon Group Plc will hold 2,330,891
ordinary shares in treasury and a total of 352,833,383 ordinary shares will be
in issue (excluding shares to be held in treasury).
