Petrofac Limited (the "Company")

In accordance with Disclosure and Transparency Rule 5.8.4, the Company has been notified by its Registrar that Rodney Chase, the Chairman of the Company, currently holds a total of 245,253,024 voting rights, representing 70.96 per cent of the voting rights of the Company.

These voting rights represent the number of proxy votes that the Chairman has been appointed to exercise in respect of the resolution proposed at the Extraordinary General Meeting (EGM) to be held at 10 am this morning, 29 March 2010. These voting rights lapse immediately on the conclusion of the EGM and will return to their respective shareholders.

The Company's issued share capital consists of 345,629,656 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any Shares in Treasury.
