                             DIRECTOR SHAREHOLDING


The Company was notified today that on 24 March 2003, the Trustees of the SOCO
Employee Benefit Trust (the 'Trust') acquired 85,000 (0.12%) ordinary shares of
£0.20 each in the Company ('Shares') on the open market at an average purchase
price of £2.7947.

Following this transaction the Trust holds 2,210,000 Shares representing 3.10%
of the issued share capital of the Company.

The Directors of the Company are deemed to be interested in the Shares held by
the Trust. No additional interests arise on the part of the Directors by reason
of the purchase referred to in this announcement.
