                             DIRECTOR SHAREHOLDING



The Company was notified on 27 March 2003 that on 26 March 2003, Mr Rui de Sousa
acquired an interest in a further 787,206 SOCO International plc ordinary shares
of £0.20 each ('Shares').



These Shares were acquired by Quantic Ltd at a purchase price of £3.20 each and
the transaction represents 1.1% of the issued share capital of the Company.
Quantic Ltd now holds 3,594,684 Shares representing 5.04% of the issued share
capital of the Company.



As a result of this transaction, Mr de Sousa is interested in a total of
4,209,303 Shares, representing 5.90% of the issued share capital of the Company.
  This interest is held through Quantic Limited and New Falcon Oil Limited of
which a respective 50% and 100% of the share capital is owned by Mr de Sousa.



In addition to Shares, Mr de Sousa is interested in a total of 1,671,809
warrants to purchase ordinary shares in SOCO ('Warrants'). These Warrants are
held though Quantic Ltd (162,607 Warrants) and New Falcon Oil Limited (40,652
Warrants) all at an exercise price of £0.55 each, and through Palamos Limited
which holds 14,685 Warrants, 925,187 Warrants and 528,678 Warrants at an
exercise price of £0.55, £0.60 and £0.65 each respectively. Palamos Limited is
owned by a trust company whose potential ultimate beneficiary is the family of
Mr de Sousa.
